Terms & Conditions of Service

1. Definitions and Operational Scope
These Master Terms and Conditions ("Agreement") govern the access to and use of the Hireframe platform provided by Hireframe Technologies Inc. ("Hireframe", "Supplier") to the subscribing corporate entity ("Customer", "Subscriber").
- "Automated Employment Decision Tool (AEDT)": Any computational process derived from machine learning or statistics that issues scores, classifications, or candidate recommendations.
- "Output Scorecards": The structured, leveled evaluation documents, verbatim citation links, inter-rater reliability scores, and adverse impact metrics generated by the platform.
- "Cryptographic Audit Ledger": The immutable, SHA-256 hashed append-only transaction log recording candidate evaluations, timestamps, and human modifications.
2. 100% Customer Output Ownership & Intellectual Property
Complete Customer Ownership: As between Customer and Hireframe, Customer retains sole and exclusive ownership of all right, title, and interest—including all copyright, trade secret, and proprietary rights—in and to:
- All candidate interview audio, video, code submissions, and raw transcripts.
- All generated Output Scorecards, behavioral anchor customizations, and interviewer feedback notes.
- All Cryptographic Audit Ledger entries, compliance export packages, and adverse impact reports.
Hireframe acquires no ownership, licensing interest, or residual commercial right in any Customer Output. Customer may freely export, archive, disclose to legal counsel, or present Output Scorecards before judicial or administrative bodies without restriction.
3. Acceptable Use & Human-in-the-Loop Mandate
Hireframe is engineered specifically as a defensibility and decision-support framework. In alignment with EEOC regulations and the EU AI Act:
- Human-in-the-Loop Requirement: Customer agrees that Hireframe shall not be utilized to execute fully autonomous, unsupervised employment rejections without qualified human evaluator or hiring manager confirmation.
- Low-Evidence Gate Compliance: Customer agrees to respect the platform's Low-Evidence alerts and shall not programmatically circumvent system recommendation locks without recording a certified human rationale note in the audit ledger.
- No Circumvention of Demographic Guardrails: Customer shall not attempt to reverse-engineer or disable four-fifths adverse impact monitoring or inter-rater reliability calibration features.
4. Usage Tiers, Quotas, and Overage Terms
Subscriptions are billed according to the agreed active Job Requisitions and completed Scorecards allocated in the executed Order Form:
- Requisition Allocation: Active requisitions refer to open job roles actively ingesting candidate interview streams during any given calendar billing cycle.
- Overages: Completed scorecards exceeding plan allowances will be invoiced at the documented rate ($7.50/scorecard on Core, $5.00/scorecard on Growth) on the subsequent monthly billing statement.
- No Involuntary Suspension: To protect ongoing recruitment cycles, Hireframe will never abruptly suspend live panel transcription or scorecard generation due to mid-cycle volume spikes.
5. Enterprise Service Level Agreement (SLA) & Uptime Commitments
Hireframe warrants that the core scoring API, transcript ingestion engine, and cryptographic audit query services will maintain an Uptime Percentage of not less than 99.9% during each calendar month.
In the event of an SLA breach validated by system telemetry, Customer shall be entitled to the following financial service credits applied against the subsequent invoice:

6. Mutual Indemnification & Algorithmic Compliance Warranty
Supplier Compliance Warranty: Hireframe warrants that the software, when operated in accordance with provided documentation, complies with the technical transparency, data logging, and auditability requirements of NYC Local Law 144, Title VII EEOC Uniform Guidelines (§1607), and EU AI Act Title III High-Risk technical specifications.
In the event Customer receives an official administrative audit, EEOC charge of discrimination, or state Department of Labor inquiry regarding the algorithmic mechanics of Hireframe, Supplier shall provide qualified technical and statistical support to explain system functions and generate certified audit records at no additional cost.
7. Term, Offboarding, and Data Portability
Upon termination or non-renewal of an active subscription, Customer shall have sixty (60) days to export all historical scorecards, verbatim citation indexes, and cryptographic audit ledgers via our bulk JSON/PDF export API. Following the offboarding window, all Customer media and transcripts shall be irreversibly sanitized in accordance with our NIST SP 800-88 cryptographic erasure standards.
